01Parties & agreement
These terms ("Terms") form a legal agreement between Pryme Studio Ltd ("we", "us", "Pryme Studio"), a company registered in England and Wales (number 15812340), and the organisation or individual ("you") that creates an account or signs an order form for Westminster Monitor (the "Service").
By creating an account or using the Service, you confirm that you have authority to bind the organisation you represent and that you accept these Terms. If you do not accept them, do not use the Service.
02Your account
You are responsible for the accuracy of the information in your account, the security of your credentials, and the activity of all users you authorise on your workspace. Notify us promptly at security@westminstermonitor.com if you suspect any unauthorised access.
Each named user must use their own login. Sharing credentials between people is a material breach of these Terms.
03Acceptable use
You may use the Service for any lawful business purpose. You may not:
- Resell, sublicense, or systematically redistribute the Service or any briefings to parties outside your organisation, except as expressly permitted in your plan or order form;
- Reverse-engineer, scrape, or attempt to extract the underlying data corpus or significance scoring algorithms;
- Use the Service to harass, defame, or unlawfully target individuals;
- Interfere with the operation of the Service, attempt to bypass usage limits, or use automated tools to access the Service except via our published API.
We reserve the right to suspend access for material breach, with notice where reasonable.
04Fees & billing
Subscription fees are payable in advance, monthly or annually, as set out on the Pricing page or in your order form. Prices are exclusive of VAT, which will be charged where applicable. Plan upgrades take effect immediately and are prorated; downgrades take effect at the next renewal.
Fees are non-refundable except where required by law or where we materially fail to deliver the Service for an extended period (in which case we will issue a pro-rata service credit).
05Free trials
We offer trial access to the Service. Trials provide full product functionality without payment. At the end of the trial, the account pauses unless a paid plan is selected. We do not require a credit card to start a trial.
06Intellectual property
Westminster Monitor, the Service, and all software, trademarks, and original content remain the property of Pryme Studio. Watchlists, configurations, and any non-public content you upload remain your property; you grant us a limited licence to host and process that content for the purpose of providing the Service.
The underlying parliamentary record is in the public domain. Briefings, scoring outputs, and aggregated analyses produced by the Service are licensed to you for internal use within your organisation and for delivery to your clients in the ordinary course of business.
07Warranties
We warrant that we will provide the Service with reasonable skill and care. The Service is otherwise provided "as is". We do not warrant that the Service will be uninterrupted or error-free, that significance scores will identify every relevant item, or that the Service will meet every specific business need.
08Liability
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability that cannot be excluded under English law. Subject to that, our aggregate liability under or in connection with these Terms is limited to the fees paid by you in the twelve months preceding the event giving rise to the claim.
Neither party is liable for indirect or consequential losses, loss of profit, loss of business, or loss of anticipated savings.
09Term & termination
These Terms apply for as long as you have an active account. Either party may terminate for material breach not remedied within 30 days of written notice. You may cancel a monthly subscription at any time effective at the next billing date; annual subscriptions cancel at the end of their term. On termination, we will give you 30 days to export your configuration data before deleting it.
10Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any disputes arising under them.
